Applied Imaging To Be Purchased by Genetix

San Jose, CA-based Applied Imaging announced that it has come to terms to be bought out by United Kingdom-based Genetix for $18.3 million, according to the Silicon Valley/San Jose Business Journal.
   Applied Imaging supplies automated imaging and image analysis systems for the detection and characterization of chromosomes and molecular markers in genetics and cancer applications.
   Genetix of New Milton, Hampshire, UK is a cell biology, proteomics and genomics health technology group.
   As a result of the proposed combination, Applied Imaging said, the two companies expect to “pursue growth opportunities and longer-term strategic goals through leverage of technical, commercial and capital resources, as well as by cross-selling of an enhanced product portfolio.”
   Under the terms of the agreement, which is subject to approval by Applied Imaging’s stockholders, Genetix will pay $3.06 per share to acquire all of Applied Imaging’s common stock. The transaction is expected to close in the fourth quarter of 2006.
